1. Acceptance of Terms

By accessing or using CarveSpace's website (carvespace.in), mobile application(s), or any of our Services, you confirm that you have read, understood, and agree to be bound by these Terms and Conditions, along with our Privacy Policy, which is incorporated herein by reference.

These Terms and Conditions apply to all visitors, users, clients, and any other persons who access or use the Service. If you are using the platform on behalf of an organisation or company, you represent and warrant that you are authorised to bind that entity to these terms.

2. Definitions

"CarveSpace" / "Company" / "We" / "Us" / "Our" refers to CarveSpace Interiors, its directors, employees, affiliates, agents, and authorised representatives.

"User" / "You" / "Client" refers to any individual or entity accessing the platform, enquiring about, or availing our interior design and construction services.

"Services" refers to all interior design consultation, modular kitchen, renovation, construction, and related services offered by CarveSpace.

"Platform" refers to the CarveSpace website, mobile application(s), and any other digital or physical touchpoints operated by CarveSpace.

"Project" refers to any interior design or construction work agreed upon between CarveSpace and the Client as detailed in a formal Service Agreement or Work Order.

3. Services Offered

CarveSpace provides a range of interior design and construction services including, but not limited to:

• Modular kitchen design and installation
• Cupboard, study table, TV unit, pooja unit, and crockery unit fabrication
• False ceiling, CNC work, wallpaper, glass partition, and wooden partition
• Flat promotion, land promotion, individual construction, and renovation
• Landscaping, electrical, plumbing, painting, waterproofing
• PIR panel, PUF panel, and bitumen road work
• Design consultations (online and in-person)

CarveSpace reserves the right to modify, suspend, or discontinue any of its services at any time without prior notice. The scope of each project is defined in a separate Service Agreement signed between CarveSpace and the Client.

4. Eligibility

To use our Services, you must:

• Be at least 18 years of age.
• Have the legal capacity to enter into a binding contract under applicable Indian law.
• Not be barred from receiving services under any applicable laws.

If you are accessing the platform on behalf of a company or organisation, you represent that you have full authority to bind such entity to these Terms and Conditions.

5. Project Consultation & Booking

All project consultations, whether online or in-person, are subject to availability. CarveSpace will make reasonable efforts to accommodate your preferred date and time but does not guarantee specific scheduling.

A booking is considered confirmed only upon receipt of written confirmation from CarveSpace. CarveSpace reserves the right to refuse or cancel a booking at its sole discretion, in which case any advance payment received will be refunded in full.

6. Payment Terms

Payment for CarveSpace services shall be governed by the terms set out in the individual Service Agreement signed between CarveSpace and the Client. General payment terms are as follows:

• An advance payment is required to confirm and commence any project. The advance amount will be specified in the Service Agreement.
• Progress payments are to be made at milestones as defined in the Service Agreement.
• The final payment is due upon project completion and handover, prior to the Client taking possession of the completed work.
• All prices are inclusive of applicable taxes unless stated otherwise in the Service Agreement.
• CarveSpace accepts payment via bank transfer, UPI, cheque, or other methods as agreed in writing.

Failure to make payments on time may result in suspension of work. CarveSpace reserves the right to charge interest on overdue payments at a rate of 18% per annum or as specified in the Service Agreement.

7. Cancellation & Refund Policy

Cancellation of a confirmed project must be communicated in writing to info@carvespace.in. The following cancellation terms apply:

• Cancellation before commencement of work: The advance payment is non-refundable. Any material procurement costs already incurred will also be deducted.
• Cancellation after commencement of work: The Client shall be liable for all costs incurred up to the date of cancellation, including labour, materials, and overheads, in addition to the non-refundable advance.
• Cancellation by CarveSpace: If CarveSpace cancels a project due to unforeseen circumstances, a full refund of amounts paid will be provided within 14 working days.

Refunds, where applicable, will be processed within 14 working days of written confirmation of cancellation and will be made to the original payment method.

8. Project Timeline & Delays

CarveSpace will make every reasonable effort to complete projects within the agreed timeline as stated in the Service Agreement. However, project timelines are estimates and may be affected by factors including but not limited to:

• Delays in client approvals, selections, or feedback
• Unavailability of materials or supply chain disruptions
• Site access issues or unforeseen structural complications
• Force majeure events including natural disasters, government orders, or pandemics
• Changes requested by the Client during the course of the project

CarveSpace shall not be held liable for delays caused by the above factors. Any variation to the project scope requested by the Client after commencement may result in additional costs and timeline extensions, which will be communicated in writing.

9. Client Responsibilities

The Client agrees to:

• Provide accurate and complete information regarding the project site, requirements, and preferences.
• Ensure timely access to the project site during agreed working hours.
• Obtain all necessary approvals, permissions, and NOCs required from relevant authorities or housing associations prior to commencement of work.
• Review and approve design proposals, material samples, and quotations within the agreed timeframes.
• Make payments as per the schedule defined in the Service Agreement.
• Inform CarveSpace promptly of any changes in requirements or any issues arising at the site.

CarveSpace shall not be responsible for delays or additional costs arising from the Client's failure to fulfil the above responsibilities.

10. Warranty & After-Sales Service

CarveSpace provides a limited warranty on its workmanship and installed products as specified in the Service Agreement. The standard warranty terms are:

• Structural and civil work: warranty as per the Service Agreement, typically 1 year from project handover.
• Modular furniture and cabinetry: warranty as per the manufacturer's terms, typically 1–5 years.
• Electrical and plumbing work: warranty as per Service Agreement, subject to the condition that no third-party modifications have been made.

The warranty does not cover damage caused by misuse, negligence, natural wear and tear, water damage from external sources, or modifications made by third parties after project handover. Warranty claims must be submitted in writing to info@carvespace.in.

11. Intellectual Property

All design concepts, drawings, 3D renders, mood boards, presentations, and other creative materials produced by CarveSpace in connection with a project are the intellectual property of CarveSpace Interiors unless explicitly transferred to the Client in writing.

The Client is granted a limited, non-exclusive, non-transferable licence to use such materials solely for the purpose of the agreed project. Any reproduction, distribution, or commercial use of CarveSpace's design materials without prior written consent is strictly prohibited.

All content on the CarveSpace website and platform, including text, graphics, logos, images, and software, is the exclusive property of CarveSpace Interiors and is protected under applicable intellectual property laws.

12. Photography & Portfolio Rights

CarveSpace reserves the right to photograph and/or video-record completed projects for portfolio, marketing, and promotional purposes, including use on our website, social media, and advertising materials. The Client's personal information will not be disclosed without consent.

If the Client does not wish CarveSpace to use project photographs for promotional purposes, they must communicate this in writing prior to project commencement.

13. Limitation of Liability

To the maximum extent permitted by applicable law, CarveSpace shall not be liable for:

• Any indirect, incidental, consequential, or punitive damages arising out of or in connection with the use of our Services.
• Loss of profits, data, business opportunities, or goodwill, whether or not CarveSpace has been advised of the possibility of such damages.
• Damages arising from third-party products, materials, or services procured as part of the project.
• Any delays, defects, or damages arising from information or approvals not provided by the Client in a timely manner.

In any event, CarveSpace's total liability shall not exceed the total amount paid by the Client for the specific service or project giving rise to the claim.

14. Confidentiality

Both parties agree to maintain the confidentiality of any proprietary, sensitive, or business-related information shared during the course of the project. CarveSpace will not disclose the Client's personal information, project details, or financial information to any third party except as required by law or as necessary to complete the agreed Services.

The Client agrees not to disclose CarveSpace's pricing, design methodologies, supplier details, or internal processes to any third party without prior written consent.

15. Dispute Resolution

In the event of any dispute, claim, or controversy arising out of or in connection with these Terms and Conditions or the Services provided by CarveSpace, the parties agree to first attempt to resolve the matter amicably through good-faith negotiations within 30 days of written notice of the dispute.

If the dispute cannot be resolved through negotiation, it shall be submitted to binding arbitration in Chennai, Tamil Nadu, in accordance with the Arbitration and Conciliation Act, 1996 (as amended). The language of arbitration shall be English.

16. Governing Law & Jurisdiction

These Terms and Conditions shall be governed by and construed in accordance with the laws of India. Any disputes arising under or in connection with these terms shall be subject to the exclusive jurisdiction of the courts located in Chennai, Tamil Nadu, India.

17. Force Majeure

CarveSpace shall not be held liable for any failure or delay in the performance of its obligations under these Terms and Conditions if such failure or delay is caused by circumstances beyond its reasonable control, including but not limited to acts of God, natural disasters, government restrictions, pandemics, civil unrest, fire, flooding, power outages, or supply chain disruptions.

In the event of a force majeure, CarveSpace will notify the Client as soon as reasonably practicable and both parties will work together in good faith to agree on revised timelines or terms.

18. Amendments to Terms

CarveSpace reserves the right to revise or update these Terms and Conditions at any time. Revised terms will be posted on our website with the updated effective date. It is the User's responsibility to review the Terms and Conditions periodically.

Continued use of the platform or Services after any changes to the Terms and Conditions constitutes your acceptance of the revised terms. If you do not agree to the revised terms, you must discontinue use of our Services immediately.

19. Severability

If any provision of these Terms and Conditions is found to be invalid, unlawful, or unenforceable under applicable law, such provision shall be deemed modified to the minimum extent necessary to make it enforceable, or if it cannot be modified, shall be severed from these terms. The remaining provisions shall continue in full force and effect.

20. Entire Agreement

These Terms and Conditions, together with the Privacy Policy and any applicable Service Agreement, constitute the entire agreement between you and CarveSpace with respect to the subject matter hereof and supersede all prior communications, representations, negotiations, and agreements, whether oral or written.
